Marketplace Seller Agreement

The agreement between Chinuch App and educators who sell on the Marketplace.

1.

Your Relationship with Chinuch App

By listing a product on the Chinuch App Marketplace you (“Seller”) agree to this Seller Agreement. Chinuch App LLC provides the storefront, checkout, file delivery, print-on-demand routing, and payment facilitation. You are the principal seller and merchant of record for the products you list; buyers purchase from you, not from Chinuch App.

This agreement supplements the platform Terms of Service. Buyers purchase under the Marketplace Terms of Sale and Refund & Shipping Policy, which you agree to honor.

Payments via Stripe

Payment processing is provided by Stripe through a connected account in your name. By onboarding, you agree to the Stripe Connected Account Agreement and the Stripe Services Agreement, as Stripe may modify them. You must provide Stripe accurate identity and banking information; payouts follow Stripe's schedule and requirements.

When you sell through your own Stripe connected account, buyer charges are created directly on that account. Stripe bills you its processing fees. Chinuch App takes nothing from the charge.

When you sell through wallet payouts, the buyer is charged on Chinuch App's account and you are credited in your Chinuch wallet. Chinuch App takes a flat percentage of that charge.

Fees and Print Costs

Connect sales have no Chinuch App fee. Wallet sales have the flat percentage in Section 2, shown before you accept wallet payouts and frozen per-order at purchase time.

  • Print cost recovery — for print-on-demand items, the production, shipping, and estimated tax that Chinuch App pays the print partner on your behalf. Your print markup above that cost is yours.

Chinuch App may change the wallet percentage prospectively with notice; changes never apply retroactively to completed orders.

Listings and Intellectual Property

You represent and warrant that:

  • You own or are licensed to sell everything in your listings, including fonts, clip art, images, and text;
  • Listings accurately describe and preview the product — the single biggest source of refund disputes is a listing that promises more than the files deliver;
  • Files remain complete, accessible, and working for as long as the product is listed, and you will fix broken files promptly;
  • Your content complies with applicable law and platform content rules.

You retain all rights to your work. You grant Chinuch App a non-exclusive license to host, display, excerpt, and market your listings on and off the platform.

What each sale licenses

Every sale grants the buyer the standard license in Section 5 of the Marketplace Terms of Sale. Please price with this in mind:

  • One sale, one teacher. The license is personal to the buyer and covers their own classroom. It does not reach the rest of their staff, their campus, or their district — a second teacher who wants your resource buys their own copy.
  • Apps and learning models are enabled for the buyer's school, because that is the only way a student can open one in class. It is not a license for their colleagues, and it is switched off if the buyer's license ends.

Buyers may not re-sell, redistribute, or share your files. You cannot attach your own separate license terms to a listing; the platform license is what buyers agree to, so it stays consistent and enforceable across the Marketplace.

Sales made before August 9, 2026 were under the previous version of Section 5, which also licensed a purchase made on a school account to that school's staff. Those sales stand as they were made.

Refund Requests: Your Duties

Buyers may open refund requests under the Refund & Shipping Policy. When one is opened on your order:

  • You must respond — approve or decline with an explanation — within 3 days. You'll be notified by email and in-app with a link to the review page.
  • If you decline, the buyer may escalate to Chinuch App support. If you don't respond in time, the request escalates automatically.
  • Chinuch App's escalation decision is final and binding. An approved refund is issued on your Stripe account with the platform fee reversed proportionally, so the refund is shared in the same ratio as the original split.
  • Print costs already committed to production are excluded from buyer-requested refunds except in defect cases, which may be reprinted or refunded in full.
6.

Chargebacks and Negative Balances

As merchant of record, you bear financial responsibility for chargebacks and payment disputes on your orders, per Stripe's Connected Account Agreement. If refunds, chargebacks, or fees produce a negative balance on your connected account, Stripe (and, where applicable, Chinuch App) may recover it from your future sales or linked bank account.

Responding to refund requests promptly is your best protection — buyers who get an answer rarely file chargebacks.

7.

Taxes

You are responsible for income taxes on your Marketplace earnings. Where marketplace-facilitator laws require it, sales tax on orders is calculated, collected, and remitted through the payment flow; otherwise tax obligations on your sales remain yours. Stripe provides you tax documentation (e.g. 1099-K) where thresholds apply.

8.

Suspension and Termination

We want this to be plainly stated. Chinuch App may suspend or remove a listing, pause your selling privileges, or terminate this agreement on any of these grounds:

  • Selling content you do not have rights to, or repeated IP complaints;
  • Listings that materially misrepresent their contents;
  • Repeatedly ignoring refund requests past the review deadline, or a pattern of disputes resolved against you;
  • Fraud, fee circumvention, or off-platform payment steering;
  • Content violating law or platform content rules;
  • A Stripe account that becomes unable to accept charges or payouts.

Except where fraud or legal risk requires immediate action, we will tell you in writing which ground applies and give you a chance to respond. Suspension does not erase your obligation to service already-sold orders, and buyers keep access to resources they purchased. You may stop selling at any time by unpublishing your listings; completed sales remain subject to this agreement.

9.

Changes, Liability, and Governing Law

We may update this agreement with notice; continuing to sell after the effective date constitutes acceptance. Chinuch App's aggregate liability to you under this agreement is limited to the platform fees we collected from your sales in the twelve months before the claim, to the maximum extent permitted by law.

This agreement is governed by the laws of the State of New York; disputes shall be brought in the state or federal courts of Kings County, New York.
