Marketplace Terms of Sale

The rules that govern purchases on the Chinuch App Marketplace.

What the Marketplace Is

The Chinuch App Marketplace (“Marketplace”) lets independent educators (“Sellers”) sell digital teaching resources and print-on-demand physical products to buyers (“you”). Chinuch App LLC (“Chinuch App”, “we”) operates the Marketplace as a facilitator: we provide the storefront, payment plumbing, file delivery, and dispute resolution, but each sale is a transaction between you and the Seller.

The Seller is the merchant of record for your purchase. Payment is processed by Stripe.

By completing a purchase you agree to these Terms of Sale, the Marketplace Refund & Shipping Policy, our platform Terms of Service, and our Privacy Policy.

Digital Products

Digital resources are delivered to your Chinuch App library immediately after payment. Because digital files cannot be “returned” once accessed, all digital sales are final, except in these situations:

  • Broken or compromised files — the download is corrupted, incomplete, or technically unusable.
  • Misrepresentation — the listing description or preview materially misrepresents what the resource contains.
  • Duplicate purchase — you bought the same resource twice on the same account.
  • Never accessed — you purchased but never downloaded or opened the resource.

If your purchase falls into one of these categories, request a refund through the process described in Section 4. Approved refunds for a fully refunded order revoke your access to the files.

Refund Requests and Dispute Resolution

Refunds follow a defined review process:

  • Step 1 — Request. Open the order in your library (Orders & invoices) and submit a refund request with a reason. The request covers the refundable portion of your order; print costs already committed to production are excluded.
  • Step 2 — Seller review. The Seller has 3 days to approve or decline your request. If approved, Stripe returns the money to your original payment method.
  • Step 3 — Escalation. If the Seller declines, you may escalate the request to Chinuch App support. If the Seller does not respond within 3 days, the request escalates automatically.
  • Step 4 — Final decision. Chinuch App support reviews both sides and makes a final, binding decision to refund or deny.

Refunds are issued to the original payment method and typically appear within 5–10 business days, depending on your bank. Purchases made outside Stripe (manual payments) must be resolved directly with the Seller.

Please use this process instead of filing a card chargeback. Chargebacks filed while a refund request is open may pause your Marketplace access while the dispute resolves.

Licenses and Permitted Use

Buying a digital resource grants a non-exclusive, non-transferable license to use it for teaching. The license is personal to you: it covers your own classroom, tutoring, or home teaching. This is the same whether you bought on an individual account or on one that belongs to a school — the purchase is yours, and it stays with you.

A colleague needs their own copy. A license does not extend to the rest of your staff, your campus, your network, or your district. If two teachers will use a resource, please buy two.

Unless the listing explicitly says otherwise, you may not:

  • Re-sell, re-post, sublicense, or redistribute the files;
  • Share the files with other teachers, on a public website, or in a shared drive;
  • Claim the work as your own or strip the seller's attribution;
  • Use the resource to create a competing product for sale.

Classroom software is the one thing switched on school-wide. Some listings contain an app or a learning model, which only works once it is enabled for a school. Buying one enables it at the school you teach at so your students can use it in class. That is part of your license, not a second license for your colleagues, and it is switched off again when your license ends. Your school's own settings for it are kept, so buying again restores them.

Sellers retain all intellectual-property rights to their resources. A purchase does not transfer ownership to the buyer, and Chinuch App does not take ownership of a Seller's work. We receive only a non-exclusive license to host, display, excerpt, and market listings on and off the Marketplace, as described in the Seller Agreement. Students and parents may receive copies of materials as part of normal classroom use.

A license lasts as long as the purchase is valid. Subscription resources stay licensed while the subscription is active, and a full refund of an order ends the license granted by that order — access is removed from the buyer, along with any app or learning model that purchase had enabled for their school.

Purchases made before August 9, 2026. Until that date this section also licensed a purchase made on a school account to that school, for its staff to use in their own classrooms. Those purchases keep that license and nothing about them changes. Every order records the version of these Terms it was made under, and the version that applied when you bought is the one that governs your purchase.

Limitation of Liability

Sellers are responsible for the content, accuracy, and legality of their listings. Chinuch App does not author Marketplace resources and, to the maximum extent permitted by law, is not liable for damages arising from a Seller's products beyond the amount you paid for the order in question.

Nothing in these terms limits liability that cannot be limited by law, including liability arising from willful misconduct.

7.

Changes and Governing Law

We may update these Terms of Sale from time to time; the version in effect when you place an order governs that order. Material changes will be posted on this page with a new effective date.

These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute not resolved through the process in Section 4 shall be brought in the state or federal courts located in Kings County, New York.
